Barry Tuck and Alan James Cunningham, both of Manukau City, chartered accountants, hereby give notice that on the 12th day of December 1990, they were appointed jointly and severally to be receivers and managers of all the undertaking, property and assets charged by the debenture dated the 19th day of August 1976 given by Franklin Electrical Wholesalers Ltd. in favour of ANZ Banking Group (New Zealand) Ltd.

Pursuant to Section 364 (1) of the Companies Act 1955

Robin Huia Feickert and Dawn Violet Feickert with reference to Magic Mountain Ltd., hereby gives notice that on the 6th day of December 1990, it appointed Robin Michael Seal of Auckland, chartered accountant, whose office is at Seal & Co, Chartered Accountants Ltd. on the 1st day of March 1990 to Rohan Importing Company Ltd. a copy of which mortgage debenture was registered with the Registrar of Companies in Christchurch, to secure the amount from time to time owing by Rohan Importing Company Ltd. to Mercantile Securities Ltd., hereby appoints Messrs Richard Dale Agnew and Kevin James Bearsley, partners in Coopers & Lybrand, Chartered Accountants of 157–165 Queen Street (P.O. Box 48), Auckland, to be receivers and managers, with power to act in all matters either jointly or severally, of Rohan Importing Company Ltd., pursuant to clause 24 of the mortgage debenture upon the grounds that Rohan Importing Company Ltd. is in breach of clause 23 (e) of the mortgage debenture and that the company has failed to rectify the breach, thereby committing a breach of the mortgage debenture.

The receivers and managers shall hold office with the powers and subject to the provisions set out in the conditions endorsed on the said mortgage debenture, and in the event of either receiver and manager ceasing to act for any reason, the other shall continue to act in all matters until such time as Mercantile Securities Ltd. decides to fill the vacancy.

Mercantile Securities Ltd., as the registered holder of the mortgage debenture, both hereby fix the remuneration of the receivers and managers at the scale of fees from time to time charged by Coopers & Lybrand for receiverships, such fees being chargeable in respect of the time spent on the receivership to be paid monthly during the course of the receivership.
