In the matter of Part II of the Partnership Act 1908, and in the matter of Molyneux Holdings Limited:

Molyneux Holdings Limited and the persons named and described in the Schedule hereto do hereby certify:

1. They are the general and special partners in the special partnership conducting business under the name or style of Molyneux Holdings Limited and Company. That the original partners were Hugh Francis McIntyre and Russell Douglas Checketts and those partners transferred part of their shares in the partnership to the special partners named and described in the Schedule between April and July of 1984. The existing special partners are those mentioned in the Schedule hereto.

2. The special partnership has been carrying on the business of horticulturalists and orchardists and developers at Cromwell.

3. The capital of the partnership is $1,200,000 and all that capital has been contributed by the special partners in cash.

4. The principal place of business of the special partnership was at Cromwell.

5. The limited partnership has terminated on the 20th day of September 1989, pursuant to a special resolution of the partnership made on the 30th day of September 1989, such resolution being made under the partnership deed dated 16th April 1984.
