Notice of Special Resolution
Notice is hereby given that the company intends passing the following special resolution by means of an entry in the minute book, pursuant to section 362 of the Companies Act 1955 on the 15th day of March 1991:
That the company’s memorandum of association be amended, pursuant to section 18 (1) (c) of the Companies Act 1955, by omitting all provisions with respect to the powers of the company contained in the memorandum of association of the company and that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955).

Notice of Annual General Meeting to Consider Special Resolutions
In the matter of the Companies Act 1955, and in the matter of First National Real Estate Group Ltd.:
Notice is hereby given that the annual general meeting of the members of the above-named company will be held on the 12th day of March 1991 at 10 a.m. at Burma Lodge, Burma Road, Johnsonville, Wellington.
Special Business:
It is intended to consider at this meeting and, if thought fit, to pass the following special resolutions:
“That pursuant to sections 18 (1) (a) and (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by inserting an additional clause 5 which reads:
“Every member of the company undertakes to contribute to the assets of the company in the event of the same being wound up while he or she is a member, or within 1 year after he or she ceases to be a member, for payment of the debts and liabilities of the company (contracted before he or she ceases to be a member) and the costs, charges and expenses of winding up and
for the adjustment of the rights of the contributories among themselves such amount as may be required not exceeding $50.”.
That henceforth the company shall therefore be a public company limited by guarantee and having a share capital.
That accordingly the present memorandum of association of the company is amended and the memorandum of association presented to the meeting and marked with the letter “A” is hereby adopted as the memorandum of association of the company.”
A copy of the proposed memorandum of association is available for inspection at the offices of Buddle Findlay at the Stock Exchange Centre, 191–201 Queen Street, Auckland, or on request from the company.
Members are entitled to appoint a proxy to attend and vote in their place at the meeting. The proxy form must be received at the registered office of the company 48 hours before the time of the meeting. The proxy need not be a member of the company.

In the matter of sections 76 and 77 of the Companies Act 1955, and in the matter of an application by Summit Gold NL, a duly incorporated company having its registered office at Wellington for an order confirming reduction of share capital:
Notice is hereby given that the order of the High Court dated the 13th day of February 1991 confirming the reduction of the issued and paid up capital of the company from $100,000,000 to $20,000,000 and the minute approved by the Court showing with respect to the capital of the company as altered, was registered by the Registrar of Companies on the 5th day of March 1991.
