Order Confirming Special Resolution Reducing Share Capital

In the matter of the Companies Act 1955, and in the matter of Te Ika Enterprises Limited, a duly incorporated company having its registered office at Auckland, carrying on business as a property owning company—Applicant.

Before the Honourable Mr Justice Barker, Friday, the 31st day of January 1991

Upon reading the ex parte application for orders permitting the proceedings to commence by way of originating application and for confirmation of a special resolution reducing share capital, the affidavit of John Muir Taylor, dated 16 January 1991, and the memorandum of counsel in support, filed herein, this Court orders that:

1. This proceeding is permitted to be commenced by way of originating application.

2. The following special resolution passed on the 20th day of November 1989, by means of an entry in the minute book of the applicant, signed as provided by section 362 of the Companies Act 1955 (“the Act”), namely:

“That the authorised, issued and paid up capital of Te Ika Enterprises Limited be reduced from 875 000 ordinary shares of $1 each fully paid to 10 000 ordinary shares of $1 each fully paid by means of paying off paid up share capital by application to the Court under sections 77 and 78 of the Companies Act 1955”

is confirmed.

3. Section 76 (2) of the Act shall not apply as regards any class or any classes of creditors.

4. A sealed copy of this order be produced to the District Registrar of Companies at Auckland.

The above-entitled proceedings have been issued by the plaintiff as a result of a dispute between the plaintiff and the directors of the defendant company as to the value of the plaintiff’s shares in the defendant company. The proceedings are being defended by the defendant company.

The defendant company has instructed an independent public accountant to value the plaintiff’s shares.

This notice is given by the defendant company whose address for service is at the offices of Grant Cameron, Ninth Floor, NZI House, 96 Hereford Street, Christchurch.
