Take notice that the following resolution by way of entry in the minute book of Student Media Marketing Ltd. was passed on the 8th day of February 1991, pursuant to section 362 of the Companies Act 1955:

1. Resolved that the company be wound up as a creditors voluntary winding up.

2. Resolved that KPMG Peat Marwick, chartered accountants at Dunedin be appointed provisional liquidators of the company.

3. Resolved that a meeting of the creditors of the company be summoned for the 22nd day of February 1991 at 11 a.m. at the boardroom of KPMG Peat Marwick, 44 York Place, Dunedin.
