VOLUNTARY WINDING UP AND FIRST MEETINGS

Notice Convening First Meeting of Creditors

In the matter of the Companies Act 1955, and in the matter of C R Thwaites (Builder) Ltd.:

Notice is given that by duly signed entry in the minute book of this company on the 13th day of February 1991, extraordinary resolutions were passed by the company as follows:

1. That the company cannot by reason of its liabilities continue its business and it is advisable to accordingly wind up the company.

2. That in accordance with section 285 of the Companies Act 1955, a liquidator be appointed.

Accordingly, a meeting of the creditors of the company will be held at Canterbury Manufacturers' Association, Second Floor, Mancan House, corner of Manchester Street and Cambridge Terrace, Christchurch, on the 26th day of February 1991 at 10.30 a.m.

Business:

1. To consider a statement of the position of the company's affairs and list of creditors.

2. To appoint a liquidator and fix the basis of his remuneration.

3. To appoint, if thought fit, a committee of inspection.

4. If a committee of inspection is not appointed, if thought fit, the liquidator to exercise powers set out in section 294 (1) (a) of the Companies Act 1955.

Proxies for this meeting must be lodged at the registered office of the company, care of D S Duns & Co, Ninth Floor, Barclays House, corner of Armagh Street and Oxford Terrace (P.O. Box 2056), Christchurch, not later than 4 p.m. on Monday, the 25th day of February 1991.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 7th day of February 1991, the following extraordinary resolution was passed by the company, namely:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily."
