Notice of Resolution for Voluntary Winding Up

Pursuant to Section 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Interim One Limited (formerly known as Harper Collins (Auckland) Limited and Gordon & Gotch (NZ) Limited:

Notice is hereby given that by means of an entry in the minute book of Interim One Limited, in accordance with section 362 of the Companies Act 1955, the following resolution was passed on the 9th day of December 1991:

“That the company having filed a declaration of solvency in compliance with section 274 (2) of the Companies Act 1955, be wound up voluntarily, and that Michael Peter Stiasny and Colin Thomas McCloy, chartered accountants of Auckland, be appointed liquidators.”

Any creditor with a claim against the liquidation is required to advise the liquidators of that claim before the 17th day of December 1991.

  1. That by reason of all trading activities of the company having ceased, that the company, having filed a declaration of solvency, be wound up voluntarily.

  2. That Robert John Willis, chartered accountant of Auckland, be and is hereby appointed liquidator.

The liquidators hereby fixes the 10th day of January 1992, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
