Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that at the annual general meeting of Dairying Research Corporation Limited to be held on the 12th day of December 1991 at 12 noon at the offices of Dairying Research Corporation Limited, 136 Silverdale Road, Hamilton, the following resolution will be considered and, if thought fit, passed as a special resolution:

"That the existing memorandum of association of Dairying Research Corporation Limited (‘the company’) be and the same is hereby altered in the terms hereunder and the memorandum of association of the company be and the same is hereby approved and adopted with the alterations hereunder, namely:

A new article known as article 5 of the memorandum of association be added and read as follows:

‘The rights, powers and privileges of the company granted by section 15A (1) of the Companies Act 1955, shall be restricted and the exercise thereof shall be prohibited insofar and to the extent that the same shall or may be used to enable any part of the income or any other funds of the company to be used or available to be used for the private pecuniary profit of any proprietor, member or shareholder of the company and without expanding on the limitations set out in this article 5, the objects for which the company was established are declared to be the promotion and encouragement of scientific and industrial research.’"
