Notice of Special Resolution to be Passed at annual general meeting

Notice is hereby given that at the annual general meeting of the members of Sanford Limited to be held in the Kingsgate Centre, Downtown Mall, Lower Albert Street, Auckland on Wednesday, the 18th day of December 1991, commencing at 2.30 p.m., the members of Sanford Limited shall consider, and if thought fit, pass the following resolution (which shall be proposed as a special resolution):

The existing memorandum of association of the company be altered by:

(a) the deletion of clause 3; and

(b) the renumbering of clause 4 as clause 3; and

(c) the deletion of clause 5 which shall be substituted by the following and numbered clause 4:

The capital of the company is $50,000,000 divided into 100,000,000 shares of 0.50 cents each.

Proxies

Any member of the company entitled to attend and vote at the meeting may appoint a proxy to attend and on a poll to vote in place of the member. A proxy need not be a member of the company.

To be valid a form of proxy must be returned duly completed to the registered office of the company by 2.30 p.m. on the 16th day of December 1991.
