Notice of Voluntary Winding Up and Notice to Creditors to Prove Debts or Claims

Notice is hereby given that by duly signed entry in the minute book of the above-named companies on the 31st day of October 1991, the following special resolution was passed by the companies, namely:

  1. That by reason of all trading activities of the company having ceased, that the companies, having filed a declaration of solvency, be wound up voluntarily.

  2. That William Robert Matthew, chartered accountant of Auckland, be and is hereby appointed liquidator.

The liquidator hereby fixes the 30th day of November 1991, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, from objecting to the distribution.

Notice to Creditors to Prove Debts or Claims

Notice is hereby given that by duly signed entry in the minute book of the above-named companies on the 14th day of November 1991, the following special resolution was passed by each of the companies, namely:

That a declaration of solvency has been made and that it is expected that creditors will be paid in full, and that the company be wound up voluntarily.

Notice to Creditors to Prove Debts or Claims

Notice is hereby given that the undersigned, the liquidator of Chalet Foods Limited, Mi-ere Bacon Company Limited and Bonanza Foods Limited, which are being wound up voluntarily, does hereby fix the 29th day of November 1999, as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Bacon, ham and smallgoods products will continue to be marketed under the Bonanza Foods, Mi-ere Bacon and Brooks labels. All three companies are solvent but have been placed in liquidation as part of a restructuring of the Huttons Kiwi group of companies. The liquidations do not have any impact on the solvency of the Huttons Kiwi companies which are still in operation.


In the matter of the Companies Act 1955, and in the matter of J. Lakomy Plumbing Co. Limited:

Notice is hereby given that by an entry in the minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 12th day of November 1991, passed a resolution for voluntary winding up, and that a meeting of the creditors of the above-named company will accordingly be held at Hamilton on Friday, 22 November 1991 at 2 p.m., at the office of Spicer and Oppenheim, First Floor, Hugh Monckton Trust Building, corner of Rostrevor and Harwood Streets, Hamilton.

Business:
Consideration of a statement of the position of the company’s affairs and list of creditors, etc.

Nomination of liquidator.
Appointment of committee of inspection if thought fit.

Proxies to be used at the meeting must be lodged at the office of the provisional liquidator, P.O. Box 187, Hamilton, not later than 4 o’clock on Thursday, 21 November 1991.

That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly, the company be wound up voluntarily.

Notice is given that as the liquidators of Hardie Impey Holdings Limited, which is being wound up voluntarily, we fix the 5th day of December 1991, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
