Charitable Trusts Act Notices

M. No. 494/91

In the matter of Part III of the Charitable Trusts Act 1957, and in the matter of a scheme for the variation of trust of Malaghan Institute of Medical Research Trust:

Take notice that on the 4th day of December 1991 at 10 a.m. the Malaghan Institute of Medical Research Trust (“the trust”) will apply to the High Court at Wellington for approval of a scheme varying the disposition of its income, the powers of its trustees and the mode of administering the trust.

In particular the new scheme introduces:

  1. New Objects
    The limitation in present objects to assistance to the Cancer Society of New Zealand Wellington Division Incorporated or the Council of the Wellington Medical Research Foundation Incorporated is removed and broader objects substituted:
    (i) to seek to discover the nature, origins and causes of disease;
    (ii) to conduct research into disease and to assist research by providing finance, advice, facilities and other assistance and to maintain laboratories or other buildings considered desirable;
    (iii) to use knowledge gained for the improvement of prevention or treatment of disease in man and animals, to disseminate and teach that knowledge;
    (iv) to do things conducive to the attainment of the above objects.

  2. New Powers of Trustees
    Trustees are given expanded powers:
    (i) the powers and discretions conferred on trustees under the Trustee Act 1956;
    (ii) to raise money by all lawful means;
    (iii) to operate separate trust accounts;
    (iv) to enter into co-operation and joint venture arrangements which promote the charitable objects of the trust;
    (v) to hold shares;
    (vi) to affiliate with like organisations.

  3. Reconstitution of Board of Trustees
    Amongst other things, the scheme envisages a board of up to 13 members and provides for appointment and removal of trustees, election of trustees, casual vacancies, terms of office generally of 4 years, regulates meetings of the board of trustees, regulates payment of trustees expenses.

Provision is made limiting duty of care of trustees to that of a prudent person of business, for the purposes of section 14 (c) of the Trustee Act 1956. Trustees have specific power to negative personal liability in transacting on behalf of the trust.

The scheme allows the board to amend the trust deed by special resolution provided the charitable purposes of the trust are not affected and provides for disposal of surplus assets upon winding up.

Any person who wishes to oppose the scheme is required to give written notice of such intention to the Registrar of the
