Notice of Registration of Order of
Confirmation of Reduction of Capital and
Approval of Minute

In the matter of the Companies Act 1955, and in the matter of
Jedi Investments Limited:

The following order has been registered with the Registrar of
Companies on the 9th day of October 1991:

1. That the reduction of paid up capital approved by special
   resolution of the company on the 17th day of June 1991
   be confirmed.

2. That the following minute showing the amount of capital
   in the company be approved:

"The 6 163 230 fully paid ordinary shares of $1 each and
the 99 500 000 partly paid ordinary shares of $1 each
paid up to $0.2219 in the capital of Jedi Investments
Limited have been cancelled in substitution for the issue
of 5 000 fully paid ordinary shares of $1 each to be
issued at a premium of $0.60 fully paid and 580 B
redeemable preference shares of $1 par value each to
be issued at a premium of $9,999.00 fully paid."

Notice is hereby given that an extraordinary general meeting
of Character Windows Limited will be held at 102 Dominion
Road on the 15th day of November 1991 at 4 p.m.

Business:

The business of that meeting is to consider and, if thought fit,
to pass the following resolution as a special resolution:

That the memorandum of association of the company be
altered by omitting paragraph 3 in total and adopting the
rights, powers and privileges of a natural person including
