Notice is hereby given that it is proposed to pass by entry in the minute book of the above-named company in lieu of an extraordinary general meeting of the members thereof, the following special resolution:

1. That pursuant to section 18 (1) (a) of the Companies Act 1955, the memorandum of association of the company is hereby amended in paragraphs (a) and (b) of clause IV by the insertion of the words "and New Zealand" after the words "Asian and Pacific Islands".

2. That pursuant to section 18 (1) (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended in clause VI by the deletion, in line 4, of the word "such", and the deletion, in line 5, of the words "as the directors shall decide".
