Notice of Meeting of Creditors

Pursuant to Section 362 (8) of the Companies Act 1955

Notice is hereby given that by an entry in its minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 23rd day of September 1991, passed a resolution for voluntary winding up and that a meeting of the creditors of the above-named company will accordingly be held, pursuant to section 362 (8) of the Companies Act 1955, at the Matakana Room, Otumotai Trust Hotel, Bureta Road, Tauranga on the 7th day of October 1991 at 2 o’clock in the afternoon.

Agenda:

Consideration of a statement of the position of the company’s affairs together with a list of creditors and the estimated amount of their claims.
Nomination of liquidators pursuant to section 285 of the Companies Act 1955.

Appointment of committee of inspection, pursuant to section 286 of the Companies Act 1955, if thought fit.

Proxies:

A creditor who is unable to attend, may appoint a proxy, who need not be a creditor, to attend and vote instead of him. A creditor who is a company must appoint a proxy to be legally represented and such appointment must be made under seal of the company and a general authority in writing.

A proxy form must be completed and deposited at the offices of Murray Crossman & Partners, Chartered Accountants, 132 First Avenue, P.O. Box 743, Tauranga, not later than 3 p.m. on the 4th day of October 1991.

In the matter of the Companies Act 1955, and in the matter of Marcel Holdings Limited (in liquidation):

By order of the High Court at Auckland, dated the 19th day of August 1991, Michael Peter Stiassny and Colin Thomas McCloy have been appointed joint and several liquidators of the above-named company with a committee of inspection comprised of Gregory Charles Henwood of 65 Fort Street, Auckland and Gael Patricia Morris of 54 Ponsonby Road, Auckland.

In the matter of the Companies Act 1955, and in the matter of Nau Sea Enterprises Limited (in liquidation):

Notice is hereby given that Gerald Stanley Rea and Kerry Thomas Stotter, were appointed joint and several liquidators of Nau Sea Enterprises Limited (in liquidation) by resolution of the creditors dated the 9th day of September 1991.

The liquidators do hereby fix the 31st day of October 1991, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
