Notice Calling Extraordinary General Meeting

In the matter of the Companies Act 1955, and in the matter of Fisher & Paykel Limited:

Take notice that an extraordinary general meeting of the shareholders will be held at 78 Springs Road, East Tamaki, Auckland at 2 o’clock in the afternoon on Friday, the 4th day of October 1991.

Agenda:

To consider and if thought fit, pass the following as a special resolution:

1. That the company shall have the rights, powers and privileges of a natural person including the powers referred to in section 15A (a) to (h) of the Companies Act 1955.

2. That the memorandum of association of the company be amended by deleting clause 2, and renumbering clauses 3, 4 and 5, as clauses 2, 3 and 4 respectively and by inserting a new clause 5, as follows:

“5. The company shall not be authorised to carry on the business of banking or insurance or to carry on the business of a mining company within the meaning of Part XIV of the Companies Act 1955.”
