In the High Court of New Zealand, Auckland Registry

In the matter of Part II of the Partnership Act 1908, and in the matter of a special partnership known as Ascot Breeders Limited and Company Number II Partnership:

Pursuant to section 62 of the Partnership Act 1908 ("the Act"), Ascot Breeders Limited and Company Number II Partnership hereby gives notice of its intended dissolution.

It is hereby certified pursuant to section 51 of the Act, that:

1. The name and style of the special partnership is Ascot Breeders Limited and Company Number II Partnership.

2. The names of the general partner and of the special partners are as set forth in the Schedule hereto.

3. The business of the special partnership is as follows:

   (a) To carry on in New Zealand and elsewhere all or any of the businesses of owners and breeders of and dealers in horses and to breed, train and race horses.

   (b) To undertake and carry on any other activity or business ancillary or incidental to the foregoing.

4. The principal place at which the business of the partnership is conducted is at 26 Airedale Street, Auckland.

5. The special partnership commenced on registration at the High Court of a certificate pursuant to section 54 of the Act on the 3rd day of April 1985 under No. SP. 14/85.

6. By a meeting of the partners held on the 26th day of March 1991, it was resolved that the special partnership be wound up in accordance with the Act and with the deed of participation.

7. By powers of attorney dated variously as set out in the Schedule, each of the special partners has appointed the general partner as his or her lawful attorney with full power and authority to sign such notice of dissolution and any other document necessary to effect the dissolution of the special partnership.

Schedule

General Partner: Ascot Breeders Limited, a duly incorporated company having its registered office at Auckland.

In witness whereof this certificate is executed this 30th day of August 1991.

The common seal of Ascot Breeders Limited as general partner was hereunto affixed in the presence of:

K. R. MOSES and G. J. STEVENS.

I, Kenneth Roger Moses of Auckland, company director hereby certify as follows:

1. I am a director of Ascot Breeders Limited, a duly incorporated company having its registered office at Auckland ("the company").

2. That by powers of attorney dated variously as noted in the Schedule below, each of the special partners in the special partnership appointed the company as his or her lawful attorney with full power and authority to sign such notice of dissolution and any other document necessary to effect the dissolution of the special partnership.

3. That the company has not received any notice or information of the revocation of any of the said powers of attorney and I believe the same to be in full force and effect.
