Notice of Extraordinary General Meeting

Notice is hereby given that an extraordinary general meeting of the above-named company will be held at the registered office of the company situate at 61 Guinness Street, Greymouth on Friday, the 27th day of September 1991 at 4 p.m., for the purpose of considering and, if thought fit, passing with or without amendment, the following resolutions, each of which will be proposed as a special resolution:

That the memorandum of association of the company be altered, pursuant to section 18 (1) of the Companies Act 1955, by omitting all of the objects of the company stated therein and all of the provisions with respect to the powers of the company therein; and that the company have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) of section 15A of the Companies Acts 1955).
That the articles of association of the company be amended by adding the following article No. 144 reading as follows:

That the directors shall have full power to invest company moneys available for investment in the same type of securities and subject to the same conditions as are conferred upon trustees under the provisions of the Trustee Act 1956, for the investment by trustees of trust moneys.
