Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Wood Irrigation Supplies Limited (hereinafter called "the company"):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 13th day of August 1991, the following special resolutions were passed by the company:

That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.

That R. M. Toplis be and is hereby appointed liquidator of the company.

Notice is hereby given that by means of an entry in the minute book of Nesley Farms Limited, in accordance with section 362 (2) of the Companies Act 1955, the following special resolution was passed on the 9th day of August 1991:

Notice of Resolutions of Members to Wind Up Voluntarily

Pursuant to Sections 268 and 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of O’Donnell Griffin Limited, Crusader Fire Systems Limited, Actron Fire Equipment Limited, Risk Inspection Services Limited, Wormald Vigilant Limited and Benefis Systems Limited:

Notice is hereby given on behalf of each of the above-mentioned companies that by entry in the minute book of each of the respective companies on the 14th day of August 1991, pursuant to section 362 (1) of the Companies Act 1955, the following special resolutions were made, namely:

"That the company having ceased to trade and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily."

"That Randy Alan Russell, company director of Auckland, be and is hereby appointed liquidator of the company."

Notes:

(1) Each of the above-mentioned companies is a member of the group of companies known as the Wormald Group of Companies. The respective resolutions to voluntarily wind up are part of a reconstruction of that group of companies being undertaken to achieve administrative simplicity.

(2) Wormald Fire Systems Limited has agreed with each of the above-mentioned companies that Wormald Fire Systems Limited shall as from the 1st day of August 1991, meet all contractual liabilities that the above-mentioned companies may have.

Notice of Members Winding Up of Company No Longer Required

Pursuant to Regulation 85 (2) of the Companies (Winding Up) Rules 1956

In the matter of the Companies Act 1955, and in the matter of Tasman Bay Painters (Nelson) Limited:

Notice is hereby given that the following special resolution was passed by the members of the above-named company by duly signed entry in the minute book on the 9th day of August 1991:

"That in view of its non-trading nature the company, having filed a declaration of solvency, be wound up voluntarily and that Barry Lincoln Collier Thompson, chartered accountant of Nelson, be appointed liquidator."

The liquidator has fixed the 9th day of September 1991, as the day on or before which the creditors of the above-named company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
