The Prudential Building and Investment Society of Canterbury (in liquidation), being the beneficial owner of a debenture issued by Kingscote Investments Limited on the 14th day of October 1988, a copy of which debenture was registered with the Registrar of Companies in Wellington on the 3rd day of November 1988, hereby appoints Ronald Douglas Cormack, chartered accountant of Christchurch, to be receiver and manager of Kingscote Investments Limited, pursuant to clause 38 of the debenture upon the grounds that Kingscote Investments Limited is in breach of clause B (c) of the debenture and that the company has failed to rectify the breach, thereby committing a breach of the debenture.

The receiver and manager shall hold office with the powers and subject to the provisions set out in the conditions endorsed on the said debenture.

The Prudential Building and Investment Society of Canterbury (in liquidation) as the beneficial owner of the debenture doth hereby specify that the receiver and manager shall be entitled to receive reasonable remuneration for his services on the basis of an hourly charge for work done by the receiver and manager or any partner or employee of the receiver and manager at rates appropriate to such persons carrying out the work.
