Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) (a) of the Companies Act 1955

DFC Financial Services Limited (under statutory management), a duly incorporated company having its registered office at Wellington, with reference to Sedbergh Holdings Limited, hereby gives notice that on the 18th day of July 1991, it appointed David Geoffrey Rhodes and Richard Nicholas Ineson, whose office is at the firm of Markham & Partners, 188–192 Armagh Street, Christchurch, to be receivers and managers of all the undertaking, property and assets of this company charged by a certain debenture dated the 28th day of November 1988 and given by this company to DFC Financial Services Limited.

The receivers and managers have been appointed in respect of all the company’s undertaking, and all its property and assets, wheresoever and wheresituate both present and future, including its uncalled capital and called but unpaid capital.

Countrywide Finance Limited, being the holder of a debenture dated the 1st day of September 1989 and registered on the 7th day of September 1989 given to it by Powercentre Industries Limited, hereby gives notice that on the 19th day of July 1991 it appointed John Rofe, insolvency practitioner and Peter Anthony Chamberlain, chartered accountant of Arthur Andersen & Co., whose offices are at Level 6, Tower 2, Shortland Centre, Shortland Street, Auckland, jointly and severally as receivers and managers of all the property and undertaking of Powercentre Industries Limited pursuant to the powers contained in the said debenture and at the written request of Powercentre Industries Limited by its shareholders and directors.

Dominion Breweries Limited, being the holder of a debenture in its favour bearing date 16 November 1990 (“the debenture”), hereby gives you notice that on the 17th day of July 1991, it appointed Laurence George Chilcott and Peter Charles Chatfield, both chartered accountants of Auckland, as joint and several receivers and managers of the property of Perspective Holdings Limited (in receivership) under the powers contained in the debenture.
