Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 27th day of June 1991, the following special resolution was passed by the company:

"That as the business of the company is no longer required by the shareholders and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily."

Notice of Resolution for Voluntary Winding Up and Notice to Creditors to Prove Debts or Claims

In the matter of the Companies Act 1955, and in the matter of Kaipara Deer Farms Limited (in liquidation):

Notice is hereby given that by a duly convened extraordinary meeting of members the above-named company on the 28th day of June 1991, passed the following extraordinary resolutions:

"That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily."

"That Peter Lawrence Hays, chartered accountant of Auckland, be nominated as liquidator of the company."

At a meeting of creditors held on the same day, the appointment of P. L. Hays as liquidator was duly confirmed.

And furthermore notice is hereby given that the undersigned, the liquidator of the above-named company which is being wound up, does hereby fix the 2nd day of August 1991, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
