Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of New Zealand Molasses Company Ltd. (in liquidation):

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 1st day of June 1990, the following extraordinary resolution was passed by the company, namely:

"That the company be wound up voluntarily. A declaration of solvency has been filed in compliance with section 274 (2) of the Companies Act 1955."

Notice to Creditors to Prove Debts or Claims

Notice is hereby given that the undersigned, the liquidator of the above-named company, which is being wound up, does hereby fix the 29th day of June 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to any distribution.

Notice of Voluntary Winding Up and Meeting of Creditors

Notice is given that by duly signed entry in the minute book of the above-named company on the 30th day of March 1990, pursuant to section 362 of the Companies Act 1955, it was resolved:

"That the company having ceased all trading activities and that it is advisable to wind up and accordingly, the company be wound up voluntarily.

That William Robert Matthew of Auckland, be nominated as liquidator by the company, pursuant to section 285 of the Companies Act 1955."
