VOLUNTARY WINDING UP AND FIRST MEETINGS

In the matter of the Companies Act 1955, and in the matter of
Topsail Management Systems Ltd. (in voluntary liquidation):

Notice is hereby given that by a duly signed entry in the minute book signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 9th day of May 1990, passed the following special resolutions:

That the company be wound up voluntarily.

That Charles Richard Wylie, chartered accountant, be and is hereby appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.

Faydon Marketing Ltd. (in voluntary liquidation):

Notice is hereby given that by a duly signed entry in the minute book, signed in accordance with section 362 (1) of the Companies Act 1955, the above-named company on the 11th day of May 1990, passed the following special resolutions:

That the company be wound up voluntarily.

That Janet Marie Batten, chartered accountant, be and is hereby appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 31st day of March 1990, the following special resolution was passed, namely:

That the company having filed a declaration of solvency in compliance with section 274 (2) of the Companies Act 1955, be wound up voluntarily and that Christopher John Stark of Hubbards, Churcher & Co., Chartered Accountants, 45 George Street, Timaru, be and is hereby appointed liquidator and that the liquidator be empowered to distribute among the members in specie the whole of the assets of the company. The liquidator hereby fixes the 15th day of June 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or as the case may be, from objecting to the distribution.

Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of
Mania Productions Ltd. (in liquidation):

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 11th day of May 1990, the following extraordinary resolution was passed by the company, namely:

That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.

That the official assignee be appointed as provisional liquidator of the company pursuant to section 362 (9) of the Companies Act 1955.

That the official assignee be requested to appoint in his place John Lawrence Vague, chartered accountant of Auckland.

That John Lawrence Vague, chartered accountant of Auckland, be nominated as liquidator of the company.

L.W. Williams Ltd. (in liquidation):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 29th day of September 1989, the following special resolution was passed by the company:

"That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily."

And furthermore, notice is hereby given that the undersigned, the liquidator of L.W. Williams Ltd. (in liquidation), which is being wound up voluntarily, does hereby fix the 25th day of June 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, as the case may be, from objecting to the distribution.
