The said minute is in the words and figures following:

"The amount of share capital of Latitat No. 4 Ltd., as altered by the order of the High Court confirming the reduction of the share capital of the company is $363,381.00 divided into 1,211,270 shares of 30 cents each and at the date of registration of this minute the amount of 30 cents is deemed to be paid up on each shares."

Notice is hereby given that a general meeting of the members of Northland Business Development Ltd., will be held at the company’s premises at 11 Norfolk Street, Whangarei on Monday, the 14th day of May 1990 at 5 o’clock in the afternoon, for the purpose of considering and, if thought fit, passing the following special resolutions:

1. That pursuant to section 18 of the Companies Act 1955, the provisions of the memorandum of association with respect to the objects of the company be amended by adding the following as clause 5:

2. Notwithstanding the provisions of section 15A of the Companies Act 1955, the company shall have as one of its objects the object of conducting its business as a non-profitmaking concern with the intent that the company in fixing its charges shall make provision for capital for the present and future needs of the company but shall not provide for any profit or return on dividend for the shareholders with any excess being distributed to charity pursuant to section 24 of the Companies Act 1955.

3. That the articles of association of the company be amended by deleting all of clause 19 (including paragraphs 19.1, 19.2, 19.3 and 19.4) and by inserting the following in its place:

4. Surplus funds the company in general meeting may distribute any excess funds not to any charity but the directors shall nominate, but any amounts so distributed shall not exceed any amount recommended for that purpose by the directors. The directors may before recommending any such distribution set aside such sums as they deem proper as a reserve or reserves for any purpose for which company moneys may be applied and pending such application the directors may invest the same as they think fit from time to time.
