Notice of Order to Wind Up Company

An order for the winding up of Kainga Aluminium Ltd. (in liquidation), formerly of 148 Amohau Street, Rotorua, now of the care of the Official Assignee’s Office, Hamilton was made by the High Court at Rotorua on the 13th day of February 1990. The first meeting of creditors will be held at my office, 98 Arawa Street, Rotorua on Friday, the 27th day of April 1990 at 10.15 a.m. Meeting of contributors to follow.

VOLUNTARY WINDING UP AND FIRST MEETINGS

Raymond Floyd Ltd.

Notice of Voluntary Winding Up Resolution

Pursuant to Section 269 of the Companies Act 1955.

Notice is hereby given that by means of an entry in the minute book of Raymond Floyd Ltd., in accordance with section 362 (2) of the Companies Act 1955, the following special resolution was passed on the 9th day of April 1990.

That the company, having filed a declaration of solvency in compliance with section 274 (2) of the Companies Act 1955, be wound up voluntarily and that Gregory Charles Chatfield, chartered accountant of Auckland, be appointed liquidator.

The liquidator hereby fixes the 5th day of May 1990, as the day on or before which the creditors of the company are to prove their debts or claims and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or as the case may be, from objecting to the distribution.

On 31 March 1990 it was resolved by special resolution pursuant to section 268 (1) (b) and in accordance with section 362 of the Companies Act 1955, that Auckland Gem Company Ltd. be wound up voluntarily and further resolved that Daniel Martin Virtue, chartered accountant of Auckland, be appointed for the purposes of winding up the affairs of the company and distributing the assets.

A statutory declaration of solvency was filed with the Registrar of Companies prior to the passing of the resolutions.
