Foodstuffs (Auckland) Ltd.

Alteration of Memorandum of Association

Notice is given that an extraordinary general meeting of shareholders of Foodstuffs (Auckland) Ltd. will be held at Roma Road, Mount Roskill, Auckland on Tuesday, the 8th day of May 1990 at 7.30 p.m.

It is, inter alia, intended to be proposed as a special resolution:

"That the memorandum of association of the company be altered as follows:

(a) By omitting, pursuant to section 18 (1) (a) of the Companies Act 1955, all the objects of the company stated in the memorandum of association;

(b) By adding, pursuant to section 18 (1) (a) of the Companies Act 1955, the following objects as paragraphs 3 (a) to (h) of the memorandum of association:

'(a) To be the cornerstone and organisational heart of the mutual co-operative organisation of independent grocers (comprising both shareholders in the company and others) owning and operating their own businesses which has been built around the company;

(b) To be the guardian of the co-operative principles on which such organisation ('the co-operative organisation') is based and to have the responsibility to preserve, protect, perpetuate and promote the co-operative organisation and to work for the mutual benefit of all members of the co-operative organisation, whether shareholders in the company or not;

(c) To carry on business as a wholesaler of such commodities as are appropriate for members of the co-operative organisation, whether shareholders in the company or not, or any significant proportion of such members, to acquire either for their own purposes or to sell by retail;

(d) To provide assistance and service to the members of the co-operative organisation, whether shareholders in the company or not;

(e) To assist the members of the co-operative organisation, whether shareholders in the company or not, to carry on their retail businesses as competitively as possible, consistent with the company itself making sufficient profits to secure the continued financial strength of the company;

(f) To maintain and develop the continued financial strength of the company in order to ensure the continuing operation and advancement of the co-operative organisation;

(g) To carry on business as a manufacturer, wholesaler or retailer of any commodity whatsoever or to provide any service whatsoever;

(h) To acquire and hold shares and other investments in any other company or person;

It being declared as inherent in the foregoing objects that the objects set out in paragraph (a) to (e) (inclusive) above are paramount and it is mandatory for the company to pursue such objects, but it is permissible for the company to pursue the objects set out in paragraphs (f) to (h) (inclusive) above.'

(c) By omitting, pursuant to section 18 (1) (c) of the Companies Act 1955, the provisions of the memorandum of association with respect to the powers of the company;
and that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15A of the Companies Act 1955)."
