Notice is hereby given that a general meeting of the members of Waiareka Industries Ltd., will be held by way of an entry in the minute book of the company on Thursday, the 12th day of April 1990 in the offices of Alliance Freezing Company (Southland) Ltd., Lorneville, R D 11, Invercargill at 10 a.m.

Business:

The purpose of this meeting is to consider and if thought fit to pass the following special resolutions:

1. That pursuant to sections 15A and 18 of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) to (h) of the Companies Act 1955); and

2. That accordingly, the present memorandum of association of the company is amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the company.
