Notice of Resolution for Members Voluntary Winding Up

Notice is hereby given that on the 13th day of December 1990, the following special resolution was passed by the trust:

"That a declaration of solvency having been filed in accordance with the Charitable Trusts Act 1957, the trust be voluntarily wound up in accordance with clause 18 of the constitution and rules."

Notice of Final Meeting
Pursuant to the Charitable Trusts Act 1957

Notice is hereby given that the final general meeting of New Zealand Oral History Archive (in liquidation), will be held at Wellington on the 15th day of January 1991 at the offices of Horwath & Horwath, Dunbar Sloane Building, Waring Taylor Street, Wellington at 9.30 a.m.

Business:

1. To have an account laid before it showing how the winding up has been conducted and the property of the trust has been disposed of, and to receive any explanation from the liquidator.

2. To consider and if thought fit, to pass the following extraordinary resolution:

"That for the purposes of the Charitable Trusts Act 1957, the books and papers of the trust be retained in the custody of the liquidator for the period required by law and thereafter be disposed of by the liquidator in such a manner as the liquidator thinks fit."

Proxies:
(a) Any member who is entitled to attend and vote at this meeting may appoint a proxy to attend and on a poll vote for him.

(b) A proxy need not be a member of the trust.

(c) The instrument appointing a proxy shall be in writing under the hand of the appointer or of his attorney duly authorised or under its common seal if a company.

(d) In the case of a joint holding, all members must sign the proxy form.

(e) Proxies to be used at the meeting are to be lodged with the liquidator, Horwath and Horwath, Dunbar Sloane Building, Waring Taylor Street, Wellington not later than 4 p.m. on the 14th day of January 1991.
