Notice of Proposed Resolution to Alter Memorandum of Association
Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company in lieu of a general meeting of the members of the company the following special resolutions:

1. That the memorandum of association of the company be altered:

   (a) By recording in clause 1 that the company’s name is now “Hickson Timber Protection (N.Z.) Ltd.”;

   (b) By deleting clause 3 in its entirety and renumbering clauses 4 and 5 as 3 and 4 respectively;

   (c) By deleting clause 4 (as renumbered) and replacing it with the following:

   “4. The capital of the company is $500,000.00 divided into 500 000 shares of $1.00 each.”

2. That the company shall henceforth have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15A(1) of the Companies Act 1955.
