Notice is hereby given that the partnership of Paul Gordon Nicol and David George Wilson, trading as Outdoor Waikato was dissolved on the 31st day of October 1989.

And further that as from the 31st day of October 1989 the said Paul Gordon Nicol and his wife, Suzanne Rose Nicol, have commenced trading in partnership as Outdoor Waikato (1989).

Notice of Extraordinary General Meetings to Alter Memorandum of Association

Pursuant to Section 18 (5) and Section 30 (10) of the Companies Act 1955

Notice is hereby given that it is proposed to hold extraordinary general meetings of the members of each of the above companies at the offices of Russell McVeagh McKenzie Bartleet & Co., Wellington, on Thursday, the 15th day of February 1990 at 12 o’clock noon, for the purpose of passing the following special resolutions in respect of each company:

1. That the company make an application in the form produced to the meeting to be registered as a company limited both by shares and by guarantee and that such application be lodged for registration pursuant to section 30 (1) (c) of the Companies Act 1955.

2. That the memorandum of association of the company be altered by adding clause 4 to read:

"4. The share capital of the company shall consist of $100.00, divided into 100 shares of $1.00 each."

Note: (1) This meeting is being called on short notice pursuant to the provisions of section 145 (2) of the Companies Act 1955, and the special resolution above referred to can be passed only if, pursuant to the above section, it is voted for by a majority in number of the members having not less than 95 percent in nominal value of the shares giving that right.

(2) Any member who is entitled to attend and vote may appoint a proxy to attend and vote in his stead. A proxy need not be a member of the company.
