Notice of Meeting of Creditors

Where Winding Up Resolution Passed by Entry in Minute Book under Section 362 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Entice Marketing Ltd. (in voluntary liquidation):

Notice is hereby given that by an entry in its minute book signed in accordance with section 362 (1) of the Companies Act 1955, the shareholders of the above-named company on the 15th day of November 1990, passed a resolution for voluntary winding up, and that a meeting of the creditors of the above-named company will accordingly be held at the Boardroom, Level 10, State Insurance Building, 61–75 Rangitikei Street, Palmerston North on Thursday, the 29th day of November 1990 at 9.30 a.m.

Notice is further given that the official assignee in bankruptcy at Napier by his duly appointed agents, Roderick Thomas McKenzie and James Gerard Jefferies, chartered accountants of Palmerston North are appointed as joint provisional liquidators of the company.

Business:

  • Consideration of a statement of the position of the company’s affairs and list of creditors, etc.
  • Nomination of liquidator.
  • Appointment of committee of inspection if thought fit.

Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 15th day of November 1990, the following extraordinary resolution was passed by the company, namely:

“That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.”

Pursuant to Section 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Kotuku Co-operative Fertiliser Distributors Ltd., a duly incorporated company with its registered office at 43 Boundary Street, Greymouth:

Notice is hereby given that at an extraordinary general meeting held on the 15th day of October 1990, the above-named company passed the following resolutions, namely:

  1. That the directors having made a declaration of solvency this company be wound up voluntarily.
  2. That John M. Marshall of Marshall & Heaphy, be appointed liquidator.
