Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

DFC Financial Services Ltd. (subject to statutory management), a duly incorporated company having its registered office at Wellington, hereby gives notice that on the 13th day of November 1990, Peter John Morgan Taylor and Kingi Winitana Smiler, chartered accountants of Wellington, were appointed as receivers and managers of Otope Pine Ltd., under and by virtue of the provisions of a debenture dated on the 24th day of May 1989.

The offices of the receivers and managers are at the offices of Messrs Ernst & Young, Chartered Accountants, Eleventh Floor, BNZ Building, 1 Willis Street, Wellington.

The property in respect of which the said receivers and managers have been appointed, is all the undertaking and its real and personal property and all its assets and effects, whatsovever and wheresoever, both present and future, of the said Otope Pine Ltd. including its uncalled and unpaid capital.

The National Bank of New Zealand Ltd., with reference to Christchurch Printing Company Ltd., hereby gives notice that on the 14th day of November 1990, the bank appointed Stephen John Tubbs and Kevin Michael Thomas, chartered accountants, whose offices are at Robart Jones Building, 764 Colombo Street, Christchurch, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 28th day of August 1986.

The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsovever and wheresoever, both present and future, including its uncalled and unpaid capital.

Elders Resources NZFP Ltd. ('the debenture holder'), a duly incorporated company having its registered office at Auckland, hereby gives you notice that on the 6th day of November 1990, it appointed Rodney Gane Pardingdon and Russell Stuart Hay, both of Auckland, chartered accountants, jointly and severally as receivers and managers of all the property charged by a certain debenture dated the 6th day of July 1990, given by Gisborne Forest Products Ltd., a duly incorporated company having its registered office at Auckland, in favour of (originally) Countrywide Banking Corporation Ltd. ('Countrywide'), a copy of which was registered with the Registrar of Companies at Auckland on the 12th day of July 1990, and assigned to the debenture holder, pursuant to a deed of assignment dated the 1st day of November 1990, and made between Countrywide and the debenture holder.

The property in respect of which the receivers and managers have been appointed comprises all the undertaking and property of Gisborne Forest Products Ltd.

The situation of the office of the receivers and managers is at the offices of Deloitte Ross Tohmatsu, Chartered Accountants, Thirteenth Floor, Tower II, Shortland Centre, Shortland Street, Auckland.

Appointment of Receivers and Managers

In the matter of the Companies Act 1955, and in the matter of DFC Financial Services (under statutory management) and in the matter of a debenture issued by Dimock Corporation Ltd.:

DFC Financial Services (under statutory management), being the registered holder of a debenture dated the 15th of December 1988 granted by Dimock Corporation Ltd., both hereby appoint Peter Reginald Howell and Richard Dale Agnew of Coopers & Lybrand, chartered accountants, to be the joint receivers and managers of the property charged by the said debenture with all the powers conferred by the said debenture on the receivers and managers appointed thereunder and subject to the terms and conditions of the said debenture relating to the appointment of receivers and managers thereunder subject to any direction of the Court in relation thereto and so that the receivers and managers shall be deemed to be the agents of the said company and not of DFC Financial Services Ltd. (under statutory management).
