Notice of Proposed Resolution to Alter Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that it is proposed to pass by an entry in the minute book of the company in lieu of a general meeting of the members of Custodian Enterprises No. 82 Ltd., the following special resolution:

"That the memorandum of association of the company be altered by inserting the following clauses 3 and 4 and consequentially renumbering the existing clauses 3 and 4, as clauses 5 and 6 respectively:

3. The sole object of the company shall be to acquire and hold units in the Custodian Unit Trust:

4. The company shall be prohibited from exercising all the rights, powers or privileges referred to in section 15A (1) of the Companies Act 1955, except to the extent necessary, or strictly incidental to the sole object of the company."

Notice of Extraordinary General Meeting

Notice is hereby given that an extraordinary meeting of the members of Dairy Industries Ltd., will be held at 25 The Terrace, Wellington, on the 7th day of December 1990, at 10 o'clock in the forenoon, for the purpose of considering, and if thought fit, passing, as a special resolution, the following resolution:

"That the memorandum of association of the company be altered by deleting all the objects and powers of the company contained in clause 3, so that the company has the rights, powers and privileges of a natural person including the powers referred to in subsection 1 (a) to (h) of section 15A of the Companies Act 1955."

A member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote at the meeting on its behalf. A proxy need not be a member of the company, and the instrument appointing a proxy shall be in the form contained in the articles of association of the company and should be deposited at the registered office of the company before the commencement of the meeting.
