Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 23rd day of October 1990, the following extraordinary resolutions were passed by the company:

That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly, the company be wound up voluntarily.

That John Joseph Clark be, and is hereby appointed liquidator of the company.

Notice is hereby given that a declaration of solvency having been made and filed in accordance with section 274 of the Companies Act 1955, the following resolution was passed by the company on the 10th day of October 1990:
“That the company be wound up voluntarily.”

Notice Convening First Meeting of Creditors
In the matter of the Companies Act 1955, and in the matter of Naismith Automotive Ltd.:
Notice is given that by duly signed entry in the minute book of the above-named company on the 15th day of October 1990, the following extraordinary resolutions were passed by the company, as follows:
“That the company cannot by reason of its liabilities continue its business and it is advisable to wind up, and accordingly the company be wound up voluntarily.
That in accordance with section 285 of the Companies Act 1955, Messrs P. J. McDonald and G. R. Leech of G R Leech & Partners, chartered accountants of Ashburton, be nominated as liquidators of the company.”
Accordingly, a meeting of the creditors of the company will be held at Room 4, Public Library, Havelock Street, Ashburton on the 29th day of October 1990 at 2 p.m.
Business:
- To consider a statement of the position of the company’s affairs and list of creditors.
- To appoint a liquidator and fix the basis of his remuneration.
- To appoint, if thought fit, a committee of inspection.
- If a committee of inspection is not appointed sanction, if thought fit, the exercise of liquidator of powers set out in section 294 (1) (a).
Proxies for this meeting must be lodged at the office of G.R. Leech & Partners, 248 East Street, Ashburton, not later than 4 p.m. on the 26th day of October 1990.
