Notice of Dissolution of Partnership

That K. S. Osborn, E. F. Osborn, M. F. Smith and B. M. Smith, all of Whangarei, trading in partnership as Northern Auto Spares, gave notice that the partnership has been dissolved as at 5 October 1990. M. F. Smith and B. M. Smith will continue in partnership, trading as Northern Auto Spares from their existing premises situated at Port Road, Whangarei.

Notice is hereby given that a general meeting of the members of the company will be held at the company’s registered office at Lytton Road, Gisborne on Friday, the 16th day of November 1990, commencing at 12.15 p.m.

It is intended at the meeting to propose that the following resolutions be passed as special resolutions of the company:

1. That the existing memorandum of association of the company be altered by omitting the provisions with respect to the powers of the company.

2. That the company shall have the rights, powers and privileges of a natural person and the powers referred to in section 15A (1) (a) to (h) of the Companies Act 1955."
