Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Shantelle International Ltd. (in liquidation):

Notice is hereby given that by a duly signed entry in the minute book of the above-named company, on the 15th day of October 1990, the following extraordinary resolution was passed by the company, namely:

(a) That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up, and that accordingly the company be wound up voluntarily.

(b) That the official assignee be appointed as provisional liquidator of the company, pursuant to section 362 (9) of the Companies Act 1955.

(c) That the official assignee be requested to appoint in his place John Lawrence Vague of Auckland, chartered accountant.

Notice of Resolution for a Creditors Voluntary Winding Up

Notice is hereby given that by entry in its minute book signed in accordance with section 268 (1) (c) and 362 (1) of the Companies Act 1955, Radius Furniture Ltd. on the 15th day of October 1990, passed a resolution for a creditors' voluntary winding up and accordingly a meeting of creditors will be held at the offices of Appleby & Burns, Chartered Accountants, Fifth Floor, Union House, 32 Quay Street, Auckland on the 29th day of October 1990 at 9 a.m.

(a) Consideration of a statement of the position of the affairs of the company.

Pursuant to Sections 268 and 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of Rhine Charter Barge Company Ltd.

Notice is hereby given that by entry in the minute book of the above-mentioned company on the 10th day of October 1990, pursuant to section 262 (1) of the Companies Act 1955, the following special resolutions were passed by the company, namely:

“That the company having ceased to trade and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.

“That Warwick Harold James Edward of Hamilton, company director, be and is hereby appointed liquidator of the company.”
