Notice Calling General Meeting

Notice is hereby given pursuant to section 281 of the Companies Act 1955, that a general meeting of the company will be held at the liquidator’s office, situated at 73–79 Church Street, Onehunga, Auckland on the 4th day of October 1990 at 9 a.m., for the purpose of laying before the shareholders the liquidator’s account of the winding up showing how the winding up has been conducted, and the property of the company disposed of, and to receive any explanation thereof by the liquidator and also of determining by extraordinary resolution:

“That the books, accounts and documents of the company and of the liquidator, shall be held at the residence of Allan W. Ward for a period of 5 years from the date of this resolution.”

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

Notice of Final Meeting of Creditors and Shareholders

In accordance with clauses 4 and 10 of the scheme of arrangement sanctioned by an order of the High Court of New Zealand, dated the 27th day of February 1984 and pursuant to section 291 of the Companies Act 1955, notice is hereby given that a meeting of the creditors and shareholders of the above-named companies will be held on Wednesday, the 10th day of October 1990, commencing at 10 a.m., at the First Floor, Meeting Room 1, National Mutual Centre, Shortland Street, Auckland.

Business:

The creditors and shareholders to consider and if thought fit to:

1. Approve the termination of the scheme of arrangement on 1 December 1990.
2. Approve the liquidators account of the winding up.
3. Approve the disposal of the books and records of the companies in 2 years time.

Notice is hereby given that the undersigned, the liquidators of the above companies which are being wound up, do hereby fix the 5th day of October 1990 as the day on or before which the creditors of the companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to any distribution.
