1. “That the company by reason of its liability cannot continue its business and it is advisable to wind up and that the company be wound up voluntarily.”

2. “That in pursuance under section 285 of the Companies Act 1955, Gordon Francis Sheppard of Rangiora, be and is hereby recommended as liquidator of the company.”
