Notice of Ceasing to Have a Place of Business in New Zealand

Pursuant to Section 405 of the Companies Act 1955

Parke Davis Pty Ltd. hereby gives notice that after the expiration of 3 months from the 31st day of August 1990, the company will cease to have a place of business in New Zealand.

As from the 1st day of December 1990, Parke Davis will operate in New Zealand as a division of Warner Lambert (NZ) Ltd.

Notice is hereby given that on Wednesday, the 29th day of August 1990, the members of Hardie Trading Ltd will resolve:

"That the company alter its memorandum of association pursuant to section 18 (1) of the Companies Act 1955 ('the Act') by omitting the provisions with respect to the powers of the company and with the intent that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in section 15A (1) (a) to (h) of the Act)."
