Upon reading the ex parte notice of application for directions as to service and the ex parte notice of application for order confirming reduction of capital, approval of minute and publication of registration of order and approved minute and the statement of claim and the affidavit of Michael Peter Taillie and the memorandum of counsel filed herein this Court hereby orders:

1. That the reduction of paid up capital approved by special resolution of the company on the 24th day of December 1989 be confirmed.

2. That the following minute showing the amount of capital of the company be approved:

   "The one million ordinary shares in the capital of Gum Sarn Investments Limited of $0.50 each and paid up to $0.01 have been cancelled in substitution for the issue of 10 ordinary shares of $0.50 each to be issued as a premium of $999.50 each."

3. That notice of the registration of the order confirming reduction and the approved minute be published once in the New Zealand Gazette pursuant to section 78 (3).

Notice of Extraordinary General Meeting

In the matter of Tui Sales and Marketing Ltd, and in the matter of sections 18 (5) and 24 of the Companies Act 1955:

Notice is hereby given that an extraordinary general meeting of Tui Sales and Marketing Ltd. ("the company") will be held at the offices of Tui Milk Products Ltd., Reserve Road, Longburn on Tuesday, the 21st day of August 1990, at which it is intended to propose as a special resolution that the alteration of the provision of the memorandum of the company with respect to the objects and powers of the company, pursuant to section 18 (5) of the Companies Act 1955.
