Further Business:

1. It is hereby resolved by extraordinary resolution that an in specie distribution by way of allotment of Southwood Corporation Ltd. shares be made to the members of Elgin Equity Ltd. (in voluntary liquidation) based on $0.438776 on paid up capital in Elgin Equity Ltd.

Paid up capital is determined as fully and partly paid shares. Partly paid shares related to those shares issued as follows:

(a) Prospectus dated 25 September 1986, 3,672,000 shares of $1 each, payable over 10 years.

(b) Prospectus dated 5 June 1987, 785,550 shares of $1 each, payable over 10 years at a premium of 10 cents.

The calls treated as partly paid share capital and the share premium of 10 cents per share has been allocated to the share premium reserve in proportion to the calls made.

2. To authorise the liquidator as he sees fit to dispose of the records of the company and the liquidation at the expiration of 12 months from the date of passing the resolution.
