Notice of Resolutions for Voluntary Winding Up
In the matter of the Companies Act 1955, and in the matter of New Zealand Goldfields Ltd:
Notice is hereby given that at an extraordinary general meeting of the company held on the 16th day of July 1990, the following special resolutions were passed:
“That the company be wound up voluntarily.
“That Brian Norrises Kensington of Ernst & Young, be appointed liquidator. The liquidator’s fee shall be determined in accordance with the normal rates charged by Ernst & Young for liquidation work based on time and attendance and the liquidator’s reasonable out of pocket expenses.”

Notice of Members Voluntary Winding Up
Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 17th day of July 1990, the following special resolutions were passed by the company:
“That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.
“That Angelos Argus be appointed liquidator for the purposes of winding up the affairs of the company and distributing the assets.”

Notice is hereby given that by duly signed entry in the minute book of the above-named company, on the 17th day of July 1990, the following special resolutions of shareholders were passed, namely:
“Resolved that as the company has ceased trading, that the company be wound up voluntarily.
“That John M. Abbot of Walker Davey & Co., 118 Victoria Street, Christchurch, chartered accountants, be appointed as liquidator by the company pursuant to section 276 of the Companies Act 1955.”

Note: The company has ceased activity and a declaration of solvency has been filed with the Registrar of Companies. The winding up is part of a restructuring of the shareholders’ affairs to utilise options under the current tax laws on winding up.

In the matter of the Companies Act 1955, and in the matter of E J & A S Spackman Ltd. (in liquidation)
Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 17th day of July 1990, the following special resolution was passed by the company:
“That a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily.”
And furthermore, notice is hereby given that the undersigned, the liquidator of E J & A S Spackman Ltd. (in liquidation), which is being wound up voluntarily, does hereby fix the 8th day of August 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

A declaration of solvency has been filed in compliance with section 274 (2) of the Companies Act 1955.
Notice to Creditors to Prove Debts or Claims
Notice is hereby given that the undersigned, the liquidator of the above-named company, which is being wound up, does hereby fix the 15th day of August 1990, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.
