Notice is hereby given that the order of the High Court of New Zealand dated the 10th day of July 1990, confirming the reduction of capital of the above-named company from $14,260,000 and the minute approved by the Court were registered by the District Registrar of Companies at Auckland on the 12th day of July 1990. The said minute is in the words and figures following:

"The authorised capital of Hamelyn Group Ltd. is $14,260,000 divided into 71,300,000 shares of 20 cents each having been reduced from $16,540,000 divided into 82,700,000 shares of 20 cents each and the issued capital is $4,660,000 divided into 21,300,000 fully paid ordinary shares of 20 cents each and 2,000,000 ordinary shares of 20 cents each paid to 1 cent having been reduced from $6,940,000 divided into 32,700,000 fully paid ordinary shares of 20 cents each and 2,000,000 ordinary shares of 20 cents each paid to 1 cent."
