Notice of Extraordinary General Meeting

Notice is hereby given that an extraordinary general meeting of the shareholders of AFFCO New Zealand Ltd. will be held at The White Heron Hotel, 138 St Stephens Avenue, Parnell, Auckland on Wednesday, the 25th day of July 1990 at 1.45 p.m. to consider, and if thought fit to pass the following special resolution with or without amendment:

"That the memorandum of association of the company be and is hereby altered by deleting clause 3 thereof including all the objects and powers set out in that clause and substituting the following:

3. The company shall have the rights, powers and privileges of a natural person, including the powers set out in paragraphs (a) to (h) of section 15A (1) of the Companies Act 1955."

Note: This notice is given to alter the memorandum of association of the company, including the specific powers of a natural person, all the specific powers set out in section 15A (1) of the Companies Act 1955.
