Minutes of a Meeting of Shareholders/Directors

Resolved:

1. That the following extraordinary resolution was passed.

"That the company resolves by extraordinary resolution to the effect that it cannot by reason of its liabilities continue in business and that it is advisable to wind up."

2. That the company be placed in voluntary liquidation immediately.

3. That Mervyn Bruce McCallum be appointed provisional liquidator until such time as the company calls a creditors meeting and all creditors appoint a liquidator.

4. That the provisional liquidator prepare and circulate the statutory statement of affairs and place before a creditors meeting no later than the 22nd day of June 1990.

5. That the above resolutions be signed by the shareholders/directors by entry in the minute book pursuant to section 362 (1).
