Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

The Bank of New Zealand with reference to Whitestar Motors Ltd. (in receivership), hereby gives notice that on the 26th day of May 1989, the bank appointed Richard Dale Agnew and Kevin James Beardsley, both chartered accountants, whose offices are at the offices of Coopers and Lybrand, Chartered Accountants, CML Centre, 157-165 Queen Street, Auckland, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 20th day of March 1987. The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

Notice of Appointment of Receiver

National Mutual Finance (1988) Ltd. pursuant to a debenture in its favour, bearing date the 18th day of March 1988 hereby gives notice that on the 26th day of May 1989, it appointed John Francis Managh of Wellington, chartered accountant, receiver and manager of the property of Printworld Packaging Ltd., under the powers contained in the debenture.

The offices of the receiver and manager are situated at the offices of John F. Managh, Chartered Accountant, Suite 8, Book House, 86 Boulcott Street, Wellington.

The property in respect of which the receiver and manager has been appointed is all the company’s undertaking and all its assets and effects, whatsoever and wheresoever, situate both present and future, including its uncalled and unpaid capital, both present and future for the time being.

ANZ Banking Group (New Zealand) Ltd., being the registered holder of a mortgage debenture dated 28 June 1985, issued by the above-named company, does hereby appoint jointly Messrs Rowan Stanley Kingstone and Laurence George Chilcott of Smith Chilcott & Co., to be receivers and managers of the property charged by the said debenture with all the powers conferred by the said debenture on receivers and managers appointed thereunder and subject to the terms and conditions of the said debenture relating to the appointment of receivers and managers thereunder and such remuneration for their services as receivers being an amount calculated according to the rate of charges properly payable to receivers under debenture deeds by chartered accountants, such remuneration to be paid monthly during the course of the receivership and so that the joint receivers and managers shall be deemed to be the agent of the said company and not of the bank as provided in the said debenture provided that such payment shall only be made to the extent that there are insufficient assets of the company available to meet such costs and provided that the receivers and managers provide regular reports to the bank at times reasonably requested by it.
