It is certified pursuant to section 51 of the Partnership Act 1908 ("the Act") that Allegra Premier Racing Syndicate Limited and Company has been formed as a special partnership pursuant to Part II of the Act.

1. Names, addresses and capital contributions of the general and special partners:

   General Partner—Allegra Premier Racing Syndicate Limited, Level 8, Tower 2, Shortland Centre, 51–57 Shortland Street, Auckland. Capital contribution, $1,000.

   Special Partner—Allegra Corporation Limited, Level 8, Tower 2, Shortland Centre, 51–57 Shortland Street, Auckland. Capital contribution, nil.

2. Partnership business: To establish and carry on in New Zealand and elsewhere the business of purchasing, owning and racing thoroughbred bloodstock and to undertake or carry out any other business.

3. Principal place of business: Level 8, Tower 2, Shortland Street, 51–57 Shortland Street, Auckland.

4. Term of partnership: The term of the partnership shall commence on the date of registration of this certificate in accordance with section 54 of the Act and shall end upon the sooner to occur of:

   (a) The registration of a certificate of dissolution pursuant to section 62 of the Act; or

   (b) The expiration of 3 years from the date of registration of this certificate or, if the term of the partnership shall have been reduced by resolution of the partners, then the expiration of the reduced term.

Notice of Appointment of Receiver and Manager

State Bank of South Australia (the “mortgagee”), hereby gives notice that on the 14th day of March 1989, it appointed Peter George Steel of Christchurch, chartered accountant as receiver of all the income of the land in certificate of title 20A/1415 (Canterbury Registry), being land charged by a memorandum of mortgage dated the 3rd day of October 1988, given by Cashel Holdings Ltd., in favour of the mortgagee.

Pursuant to Section 356 (1) of the Companies Act 1955

National Mutual Finance Ltd. with reference to Group Heating (N.Z.) (“the trustee”) with reference to Crown Finance Ltd., hereby gives notice that on the 21st day of March 1989, the trustee appointed Tolmie Alexander Scoular, chartered accountant of Coopers and Lybrand, Chartered Accountants, UDC Tower, 113–119 The Terrace, Wellington, as receiver of the property of this company under the powers contained in a debenture trust deed dated the 31st day of October 1985 (as subsequently amended) by way of modification of a debenture trust deed dated 24 October 1975. The receiver has been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.
