Notice of Members Winding Up of Companies No Longer Required

In the matter of the Companies Act 1955, and in the matter of Overview Holdings No. 1 Ltd., Peter Ellis (Pepin Island) Ltd., N.A. & P.B. Hancock Ltd., Bede King-Turner Ltd., Lake Store St Arnaud Ltd.

Notice is hereby given that the following special resolution was passed by the members of each of the above companies by a duly signed entry in the minute book on the 22nd day of March 1989:

"That in view of its non-trading nature the company, having filed a declaration of solvency, be wound up voluntarily and that Denis J. Daly of Nelson, chartered accountant, be appointed liquidator."

Pursuant to regulation 85 (2) of the Companies (Winding Up) Rules 1956, the liquidator has fixed the 26th day of April 1989, as the day on or before which the creditors of the above companies are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or as the case may be, from objecting to the distribution.

An extraordinary resolution of shareholders in accordance with section 268 of the Companies Act 1955, resolved this 20th day of March 1989, that:

  1. The company by reason of its liabilities cannot continue in business and that it should be wound up.

  2. Lawrance George Dale of Nelson, chartered accountant, be nominated as liquidator.

Notice is hereby given that by a duly signed entry in the minute book of the above-named company on the 16th day of March 1989, the following special resolution was passed by the company, namely:

That the company be wound up voluntarily pursuant to section 268 (1) (b) of the Companies Act 1955 and that Janet Marie Batten of Auckland, chartered accountant, be and is hereby appointed liquidator for the purpose of such winding up.

A declaration of solvency has been filed in compliance with section 274 (2) of the Companies Act 1955.

That as the company is no longer trading, and a declaration of solvency having been filed in accordance with section 274 (2) of the Companies Act 1955, the company be wound up voluntarily and Bruce Eyres Calvert, chartered accountant of Christchurch, be appointed liquidator.

Notice is hereby given in pursuance of section 251 of the Companies Act 1955, that a general meeting of the above-named company will be held at the offices of Coombe Smith & Co., Chartered Accountants, Hair Street, Marton on 14 April 1989 at 11 o’clock in the forenoon for the purpose of having an account laid before it showing how the winding up has been disposed of, and to receive any explanation thereof by the liquidator.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.
