That the members of the above-named company by way of entry in the company minute book, pursuant to section 362 of the Companies Act 1955, have on the 7th day of March 1989, passed the following special resolution:

Take notice that a meeting of members of the above company will be held at the offices of Messrs Ernst & Whinney, Chartered Accountants, Wharf Street, Tauranga, on Thursday, the 30th day of March 1989 at 1 o’clock in the afternoon. The meeting will be held for the purpose of conducting the annual meeting of the company as required by section 290 of the Companies Act 1955, to lay before the members an account of the liquidator’s acts and dealings and conduct of the winding up, and, of laying the final account of the winding up before the members in accordance with section 291 of the Companies Act 1955.
