Notice of Appointment of Receiver

Pursuant to Section 346 (1) (a) of the Companies Act 1955

DFC Financial Services Ltd., a duly incorporated company having its registered office at Wellington, with reference to the above companies, hereby gives notice that on the 16th day of December 1988 it appointed Messrs Anthony George Lewis and Stephen John Tubbs, both of Christchurch, chartered accountants, whose office is at the firm of Messrs Coopers & Lybrand, 208 Oxford Terrace, Christchurch to be receivers and managers of all the undertaking property and assets of these companies charged with respect to Kong Holdings Ltd., by a certain debenture dated the 19th day of October 1987, with respect to Metropole Property Management Ltd., by a debenture date 22 August 1988 and with respect to all the other companies by certain debentures dated the 9th day of October 1987 and given by these companies to DFC Financial Services Ltd.

The receivers have been appointed in respect of all the companies’ undertaking and all their property and assets, whatsoever and wheresoever, situate both present and future, including their uncalled capital and called but unpaid capital.

DFC New Zealand Ltd., a duly incorporated company having its registered office at Wellington, with reference to Odenberg Industries New Zealand Ltd., hereby gives notice that on the 9th day of December 1988 it appointed Trevor Donald Scott and Sandra Elma Goodchild, both of Dunedin, chartered accountants, whose office is at Wilson Neill House, corner Moray Place and Princes Street, Dunedin, to be receivers and managers of all the undertaking property and assets of this company charged by a certain debenture dated the 8th day of December 1982 and given by this company to DFC New Zealand Ltd.

The receivers have been appointed in respect of all the company’s undertaking and all its property and assets, whatsoever and wheresoever, situate both present and future, including its uncalled capital and called but unpaid capital.

Box 13-244, Armagh, Christchurch, as receivers and managers of the property of the company under the powers contained in the said debenture, with power to act in all matters either jointly or severally.

Notice of Appointment of Receivers and Managers

Main Securities Ltd., a duly incorporated company having its registered office at Auckland, hereby gives you notice that on the 11th day of January 1989, it appointed Stephen Robert Patrick and Kim Roland Powell, both of Auckland, insolvency practitioners, jointly and severally as receivers and managers of all the property charged by a certain debenture dated the 28th day of October 1987, given by Aquaform Acrylic Products Ltd., a duly incorporated company having its registered office at Auckland in favour of Main Securities Ltd., a copy of which was registered with the Registrar of Companies at Auckland on the 5th day of November 1987.

The property in respect of which the receivers and managers have been appointed comprises all the property and assets of Aquaform Acrylic Products Ltd., whatsoever and wheresoever situated both present and future including therein the uncalled and unpaid capital (if any) both present and future for the time being of Aquaform Acrylic Products Ltd.

The situation of the office of the receivers and managers is the office of Ferrier Hodgson, insolvency practitioners and chartered accountants, situated on the Eleventh Floor, Quay Tower, 29 Custom Street, Auckland.

In the matter of Aratika Imports & Exports Ltd., a duly incorporated company having its registered office at Invercargill, and in the matter of a debenture issued by Aratika Imports & Exports Ltd. (hereinafter called “the company”) in favour of Robert Dugald McKenzie (hereinafter called “the debenture holder”)

Whereas the company issued a debenture dated the 10th day of December 1982 in favour of the debenture holder for securing advances and other accommodation made or to be made to the company by the debenture holder together with interest and other moneys as specified in the said debenture.

And whereas the moneys secured by the said debenture are payable upon demand

And whereas a demand in writing for payment of the moneys secured by and remaining unpaid to the debenture holder under the said debenture has been duly made on the company in accordance with the provisions of the said debenture

And whereas the company has not complied with the said demand

Now therefore in pursuance of the powers conferred by the said debenture the debenture holder both hereby appoint Eric Thomas Lee of Queenstown, chartered accountant and Duncan Varnham Fea of Invercargill, chartered accountant, jointly and severally to be receivers and managers of the property charged by the said debenture with all and every the powers conferred upon receivers and managers under the provisions of the said debenture and the debenture holder doth hereby specify that the receivers and managers shall be entitled
